Terms of Service
Zyncable is a product of CREEDBOX TECHNOLOGIES LTD (CAC 9677801).
These Terms of Service ("Terms") govern access to and use of Zyncable, a multi-tenant human resources information system operated by CREEDBOX TECHNOLOGIES LTD ("Creedbox", "we", "us", or "our"), including the website at https://zyncable.com, related dashboards, APIs, and the mobile application (together, the "Service").
By creating an account, inviting users, or using the Service, you agree to these Terms and our Privacy Policy and Cookie Policy. If you accept on behalf of an organisation, you represent that you have authority to bind that organisation.
1. Operator
The Service is provided by CREEDBOX TECHNOLOGIES LTD, a company registered in Nigeria (CAC RC 9677801), with registered office at NO 10 Ikot Okubo, Offot, Uyo, Akwa Ibom State, Nigeria. Contact: legals@creedbox.com.
2. The Service
Zyncable helps organisations manage workforce-related processes such as employee records, organisation structure, leave, documents, announcements, notifications, audit and admin access controls, and payroll-related features when those features are available and enabled for the organisation. The Service includes the website, dashboards, APIs, and the mobile application. Features may change as we improve the product. We do not provide legal, tax, or payroll advisory services merely by providing software.
3. Accounts and organisations
- You must provide accurate registration information and keep credentials confidential.
- Organisation administrators are responsible for inviting users, assigning roles, and ensuring only authorised persons have access.
- You are responsible for activity under your accounts, except where caused by our breach of these Terms.
- We may suspend or restrict access where we reasonably believe there is a security risk, unpaid fees (if applicable), or a material breach of these Terms.
4. Customer responsibilities (employers)
If you subscribe as an organisation, you agree that you are responsible for:
- Compliance with employment, labour, tax, payroll, and data protection laws applicable to your workforce and your use of the Service
- Obtaining any notices or consents required to process employee and candidate data in Zyncable
- The accuracy of data you or your users upload (including bulk imports)
- Configuring workflows, policies, and permissions appropriately for your organisation
Employees and invited users must use the Service in accordance with their employer's instructions and these Terms.
5. Acceptable use
You must not:
- Misuse the Service, attempt unauthorised access, or disrupt availability or security
- Upload unlawful, harmful, or infringing content, or content you do not have rights to process
- Use the Service to harass individuals, spam, or violate others' privacy or rights
- Reverse engineer or resell the Service except as permitted by law or a written agreement with us
- Probe, scan, or test vulnerability of systems without our prior written consent
6. Customer data and privacy
You retain rights in data you submit to the Service ("Customer Data"). You grant Creedbox a licence to host, process, transmit, and display Customer Data solely to provide and secure the Service and as otherwise described in the Privacy Policy. For employee HR data, we typically act as a processor on the organisation's instructions, except for processing we perform for our own operational purposes (for example authentication, security, support, and product analytics subject to our Cookie Policy and applicable user choices on the website).
7. Intellectual property
Creedbox and its licensors own the Service, including software, design, trademarks, and documentation. These Terms do not transfer ownership of our IP to you. Feedback you provide may be used by us without obligation to you.
8. Third-party services
The Service relies on third-party infrastructure, including providers for authentication and storage (Supabase), transactional email (Resend), mobile push delivery (Expo / FCM), product analytics (PostHog, subject to cookie consent on the website), hosting and related infrastructure (which may include cloud hosts such as Render and background job services such as Inngest where enabled). Their availability and terms may affect the Service. We are not responsible for third-party services we do not control, except as required by mandatory law. A fuller description appears in our Privacy Policy.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CREEDBOX AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE (12) MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US FOR THE SERVICE IN THAT PERIOD, OR (B) TEN THOUSAND NAIRA (NGN 10,000), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER NIGERIAN LAW (INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR FRAUD).
11. Indemnity
You will defend and indemnify Creedbox against claims, losses, and expenses (including reasonable legal fees) arising from your Customer Data, your misuse of the Service, or your violation of these Terms or applicable law, except to the extent caused by our wilful misconduct.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for material breach, unlawful use, or risk to the Service or other customers. Upon termination, your right to use the Service ends. Provisions that by nature should survive (including IP, disclaimers, limitations, indemnity, and governing law) will survive.
13. Changes
We may update these Terms from time to time. The "Last updated" date will change when we do. If changes are material, we may provide additional notice through the Service or by email. Continued use after the effective date constitutes acceptance where permitted by law.
14. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Subject to mandatory consumer protections that cannot be waived, the courts of Lagos State, Nigeria shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
15. General
If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms are the entire agreement between you and us regarding the Service, unless a separate written agreement (for example an order form or master subscription agreement) expressly states otherwise.
